How we work
1. Scope and changes
The completed project schedule on page 1 and any identified attachments define the services. Provider supplies the listed crew, coverage and deliverables. Additional hours, locations, camera positions, edits or versions require written approval of the added price and timing before the extra work. Email approval by the named project contacts is sufficient for routine scope changes.
2. Booking and payment
A date is reserved only after both parties accept this agreement and the booking payment in the project schedule is received, unless a different reservation requirement is written there. The proposed standard is 50% at booking and 50% before final delivery. Net-15 terms apply only when expressly agreed for an established client. An inquiry, selected date or unaccepted quote does not reserve time. Approved expenses and applicable taxes must be identified in the estimate or approved before being incurred.
3. Studio recording only
If the project includes the standard Downtown San Francisco recording session, the rate is $250 per hour with a two-hour minimum ($500), unless the signed schedule states otherwise. Three cameras, one operator, lighting, audio and recording files are included. Booked time includes preparation and recording; it is not a promise of uninterrupted recorded program time. Editing, color grading, audio post-production, captions and social clips are excluded unless separately listed and priced.
4. Client preparation and event access
Client provides an authorized contact, accurate agenda, venue access, loading instructions, participant information and timely approvals. The parties identify responsibility for permits, event notices, appearance releases and recording permissions before production. Client must have the rights to material it supplies. Neither this agreement nor access to an event by itself grants unrestricted rights to use every attendee's likeness or third-party music, artwork, slides or trademarks. Safety, venue rules and legal restrictions may limit coverage; Provider promptly discusses material effects with Client.
5. Delivery, editing and file handover
The schedule must state file formats, delivery method and deadlines. Photo selection and editing follow the agreed brief. Revision rounds apply only where listed; Client sends consolidated feedback and new creative directions are quoted separately. Camera RAW photographs and editable project files are excluded unless listed; studio recording files are included as stated in clause 3. The parties agree any temporary download-link expiry or source-file retention before booking. Client is responsible for downloading and backing up delivered files; indefinite archive storage is not included.
6. Cancellation, rescheduling and interruption
Give prompt written notice. If Client cancels, charges cover performed work at agreed rates and approved, documented nonrecoverable costs, unless a different lawful schedule was separately agreed. Apply advance payments to those charges and refund the unearned balance; a deposit is not automatically forfeited. Rescheduling depends on availability and approval of new costs. If Provider cannot perform, agree a replacement or new date, or refund prepaid unperformed services. For events outside reasonable control, first consider rescheduling and account fairly for performed work and approved nonrecoverable costs. Rights and remedies required by law remain.
7. Copyright and client use
Copyright remains with the applicable creator unless a separate signed assignment or legally valid work-made-for-hire arrangement states otherwise. On full payment, Client receives a nonexclusive, worldwide, perpetual license for its own business marketing, websites, social channels, presentations, publicity and internal communications, subject to scheduled restrictions and third-party rights. Client's agencies may use the material for Client on that basis. Stock resale, unrelated sublicensing and copyright transfer require separate written agreement. Provider secures the crew rights needed to grant this license.
8. Confidentiality and portfolio permission
The parties protect nonpublic project information and share it only as needed for the project or as legally required. Provider may not publish confidential footage or use Client's name, logo, images or footage as a portfolio testimonial or promotional endorsement without separate written permission covering that use. No portfolio permission is granted by default. Public testimonial permission and participant permissions are separate from the client-use license.
9. Care, technical limits and responsibility
Provider uses reasonable professional care and the agreed production and backup plan. Coverage cannot guarantee moments that do not occur or cannot lawfully or safely be accessed. Streaming depends on tested venue connectivity, platform access and third-party systems. Provider reports material failures promptly and works with Client on correction, a feasible reshoot or an appropriate refund for affected undelivered work, without making refund the sole legal remedy. Each party remains responsible for its conduct. This template imposes no blanket release or automatic liability cap and does not excuse fraud, willful misconduct, gross negligence or liability that cannot legally be excluded.
10. Agreement and resolving issues
The completed schedule, these terms and identified attachments form the agreement. Specific signed project terms control conflicts; fee, scope and delivery changes require a written record. First try to resolve issues through the named contacts. California law applies except where mandatory law requires otherwise; there is no compulsory arbitration or statutory-rights waiver. Signers confirm authority to bind their parties. Browsing the website, submitting a date request or downloading an unsigned template does not create a booking or signed agreement.
Complete the project details together.
The template leaves space for legal names, project dates, hours, exact deliverables, delivery deadlines, fees and any special terms. Review it for your actual project; the completed agreement and its attachments define the booking.
